Affiliate Terms and Conditions
Overview
This affiliate program is operated by Gappstack Limited. Throughout these terms, the words “we”, “us” and “our” refer to Gappstack Limited and the “Program” refers to the Gappstack / Funnelr Affiliate Program. By applying to, participating in, or receiving any benefit from the Program, you (“you”, “your”, “Affiliate”) agree to be bound by these Affiliate Terms and Conditions (“Affiliate Terms”), together with any policies referenced or incorporated herein by hyperlink.
These Affiliate Terms are in addition to our general website Terms of Use and Privacy Policy. If there is any conflict between these Affiliate Terms and the Terms of Use, these Affiliate Terms govern your participation in the Program.
Summary
These Affiliate Terms can be summarised as follows:
- You must act ethically and comply with all applicable laws.
- You must promote Funnelr honestly—no spam, false claims, or misleading tactics.
- Commissions are tracked with a 90-day cookie window on a last-click basis.
- Self-referrals are not permitted. You cannot earn commissions on your own purchases or those of your business.
- Commissions are calculated monthly in arrears and paid in US dollars after a 21-day cooling-off period to allow for refunds and disputes.
- We may withhold or reverse commissions if transactions are refunded, charged back, or found ineligible.
- We may update these terms or suspend/terminate participation for non-compliance.
Section 1: Enrollment & Eligibility
- You must submit a complete and accurate application. We may approve or reject applications at our sole discretion.
- You must be at least 18 years old and able to enter a binding contract.
- If you represent a business, you warrant you have authority to bind that entity.
Section 2: Affiliate Obligations
- You must market and promote Funnelr in a lawful, ethical, and accurate manner and comply with all applicable advertising, consumer protection, privacy, and electronic communications laws (including but not limited to CAN-SPAM, GDPR/UK GDPR, PECR, POPIA).
- You must clearly disclose your affiliate relationship in accordance with applicable endorsement and advertising guidelines.
- You must not make false, misleading, or unsupported claims about Funnelr.
- You are responsible for maintaining the security of your affiliate account. All activity under your account is your responsibility.
Section 3: Prohibited Conduct
- No spam or unsolicited communications of any kind.
- No bidding on our brand names (“Funnelr”, “Gappstack”) or confusingly similar terms in search ads. Generic keyword bidding is permitted.
- No impersonation of Gappstack or Funnelr (e.g., claiming to be the “official site”).
- No cookie stuffing, forced clicks, ad hijacking, or deceptive tracking behavior.
- No promotion on websites or channels with unlawful, defamatory, obscene, or hateful content, or content infringing third-party rights.
- No self-referrals. You may not earn commissions on your own accounts, businesses, or purchases.
- No “blackhat” marketing, including misleading redirects, phishing, or misrepresentation.
Section 4: Marketing Assets & Intellectual Property
- We grant you a limited, revocable, non-exclusive, non-transferable license to use our name, logos, and Program-provided assets to promote Funnelr during your participation.
- You may create your own marketing materials provided they are lawful, accurate, and compliant with these Affiliate Terms.
- All rights in our software, brands, and content remain our exclusive property.
Section 5: Tracking & Attribution
- Eligible referrals are tracked using Program-issued links, codes, or mechanisms.
- Attribution is on a last-click basis within our affiliate ecosystem.
- Cookies remain valid for 90 days. If a referred user subscribes within that period, the sale will be attributed to you unless another affiliate earns the last click.
- We may void attribution where fraud, abuse, or technical manipulation is suspected.
Section 6: Commission Eligibility
- Commissions accrue only on Qualifying Transactions. A “Qualifying Transaction” means a valid, completed, paid Funnelr subscription that (i) is tracked to your affiliate identifier, (ii) is not refunded, charged back, disputed, or cancelled, and (iii) complies with these Affiliate Terms.
- There are no ineligible categories of transactions other than self-referrals and refunded or charged-back payments.
- We may reverse or withhold commissions if a transaction is refunded, charged back, or found ineligible after the fact.
Section 7: Commission Calculation & Payout Timing
- Commissions are calculated monthly in arrears, based on calendar months. For example, a customer payment on 1 January is included in the January batch calculation on 31 January.
- After the month-end calculation, commissions are held for a further 21 days. This allows for the 14-day refund window and a 14-day affiliate dispute window, with 7 additional days for reconciliation and processing.
- January commissions (calculated 31 January) will therefore be paid on 21 February, provided eligibility is met.
- Payouts are made only in US dollars.
- Minimum payout threshold: USD $100. If your balance is below this threshold, it rolls over to the next cycle.
- Payout methods: PayPal or Wise. You are responsible for ensuring correct payment details. We are not responsible for failed or delayed payments caused by incorrect details.
- You are responsible for declaring and paying any taxes due on your commissions. We do not withhold taxes at this time.
Section 8: Program Changes & Availability
- We may add, modify, suspend, or discontinue any aspect of the Program at any time.
- We do not guarantee uninterrupted or error-free tracking or Program availability and will not be liable for downtime or technical issues.
Section 9: Confidentiality & Data Protection
- Non-public information we provide (such as dashboards and reports) is confidential and may not be disclosed without our consent, except as required by law.
- If you process personal data in connection with the Program, you must comply with applicable data protection laws. You may not collect or use personal data beyond what is lawfully permitted.
Section 10: Disclaimer of Warranties; Limitation of Liability
- The Program is provided “as is” and “as available” without warranties of any kind, express or implied.
- To the maximum extent permitted by law, Gappstack shall not be liable for indirect, incidental, special, consequential, or exemplary damages, or for lost profits, revenue, data, or goodwill.
Section 11: Indemnification
You agree to indemnify, defend, and hold harmless Gappstack Limited and its affiliates, officers, directors, employees, contractors, and agents from any claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to your participation in the Program, your breach of these Affiliate Terms, your marketing activities, or your violation of law or third-party rights.
Section 12: Term & Termination
- These Affiliate Terms begin on approval of your application and continue until terminated.
- Either party may terminate participation at any time by written notice.
- We may suspend or terminate immediately for breach, suspected fraud, or prohibited conduct. Upon termination, your license to use our assets ends, and unpaid but eligible commissions will be paid according to Section 7, subject to reversals.
Section 13: Severability
If any provision of these Affiliate Terms is found unlawful, void, or unenforceable, that provision will be enforced to the maximum extent permitted and the remainder will remain in full force and effect.
Section 14: Governing Law & Jurisdiction
These Affiliate Terms are governed by the law of England and Wales and subject to the exclusive jurisdiction of the courts of England and Wales.
Section 15: Changes to Affiliate Terms
We may update or replace these Affiliate Terms by posting a revised version on our website. Your continued participation after changes are posted constitutes acceptance of the updated terms.
